GENERAL CONDITIONS OF SALE

I. Validity/Offers
These General Conditions of Sale (“Conditions”) shall apply to all present and future contracts and for other services rendered. The conditions of the Buyer do not oblige us to anything, even if, after receipt, they are not specifically declined by us.
Our offers are subject to change without notice. Any agreements, especially oral collateral agreements, promises, guaranties and other assurances given by our sales staff shall be binding only once they have been confirmed by us in writing.
Commercial terms such as „EXW“, „FOB“ and „CIF“ shall be interpreted in accordance with the INCOTERMS in their current version.


II. Prices
Our prices are ex our warehouse, excluding packaging, unless something else is agreed upon. Value Added Tax (VAT) will be added.
If the items are to be delivered packaged, we will charge the packaging at our cost. We will take back the packaging delivered according to statutory provisions if it is returned to us freight free within a reasonable period of time.


III. Payment and Set-Off
Our invoices are due within 14 days with a 2 % cash discount or within 30 days net, beginning with the date of the invoice. The payment must take place within this period so that the amount involved is available to us at the latest on the due date.
Invoices for amounts under EUR 50.00 as well as for assemblies, repairs, forms and tool costs are due immediately without deductions.
Counterclaims which are contested or have not yet been legally determined to be final and conclusive do not give the Buyer the right to withhold or offset payments.
When payment is not on time, at the latest by default, we are authorized to invoice interest at the level of the appropriate bank rate for overdraft credits, at a minimum, however, at 8 percentage points over the basic interest rate. A claim for further damages due to this delay remains reserved.
If it becomes apparent after conclusion of the contract that payment of our claims is in danger due to inability of the Buyer to pay, then we retain the rights under § 321 BGB (Objections Due to Uncertainty). We shall also be authorised to make use of rights under § 321 BGB (German Civil Code) and to make due any and all of our non statute-barred accounts receivable resulting from the same legal relationship, and we may revoke the collection power as set forth in subparagraph V/5 of these Conditions. In addition, when payment is delayed we are entitled, after expiration of an appropriate extension period, to take back the goods delivered and to request that they not be sold or processed. This taking back shall not constitute a withdrawal from the contract. The Buyer can avoid all of these legal consequences by payment or giving security in the amount of our endangered receivables. The regulations of the insolvency law are not affected by the above.
Any cash discount agreed to always applies to the value of the invoice excluding freight and has a prerequisite that all amounts due by the Buyer have been paid at the time of the discount.
IV. Delivery Deadlines
Delivery deadlines and dates are considered to have been met when the goods have left our firm by the time due.
Our commitment to deliver is subject to our correct and timely self-delivery unless we are responsible for the deficient or late self-delivery.
Any agreed delivery terms shall be reasonably extended in case of labour disputes, in particular in case of strikes and lockouts as well as if unforeseeable obstacles occur which are beyond our influence, provided such obstacles considerably influence the manufacture or delivery of the goods. The same shall apply if such circumstances occur with our upstream supplier. We will notify the Buyer immediately of such circumstances. These provisions shall likewise apply to delivery dates. Should such circumstances make the performance of the contract unreasonable for one of the contractual parties, then such party shall have the right to rescind from the contract.


V. Retention of Title
All goods delivered by us remain our property (Reserved Property) until all claims arising from our business contacts have been settled, regardless of the origin of the claims and including future or conditional claims.
With regard to processing or manufacturing of the Reserved Property, we shall be deemed to be manufacturer within the meaning of § 950 BGB (German Civil Code) without committing us in any way. The processed or manufactured goods shall be regarded as Reserved Property within the meaning of subparagraph V/1 of these Conditions. When the Buyer processes, combines or mixes the reserved goods with other goods, we retain co-ownership in the new product in the relation of the invoice value of the reserved goods to the invoice value of the other goods produced. If our property disappears due to combination or mixture, the Buyer transfers to us already his property rights in the new goods or items in relationship to the invoice value of the reserved goods and will retain them for us without cost. The resulting co-ownership counts as Reserved Property in the meaning of subparagraph V/1 of these Conditions.
The Buyer may re-sell the Reserved Property only in his normal business relations and to normal business conditions as long as he is not in arrears and only on the condition that the claims from the related sale are transferred to us according to subparagraphs V/4 to V/6 of these Conditions. He is not authorized to use the Reserved Property for any other purpose.
The claims of the Buyer from the further sale of the Reserved Property count already as transferred to us. They count, in the same relationship, as security as do the Reserved Property. If the Reserved Property is sold by the Buyer together with other goods not sold by us, the assignment of the claim from the further sale is only in the amount of the sales value of the Reserved Property. With the sale of goods on which we have co-ownership according to subparagraph V/2 of these Conditions, the assignment of the claim is in the amount of this co-ownership.
The Buyer is authorized to collect claims from the further sale until we exercise our rights of revocation at any time. This right of revocation will only be used in those cases listed in subparagraph III/5 of these Conditions. At our request, the Buyer is required to inform his customers immediately about the cession to us – as far as we do not do it ourselves – and to provide us with the necessary information and details to accomplish collection.
The Buyer must inform us immediately about any seizure or other adverse actions on the part of third parties.
Should the value of the existing securities exceed the value of the secured claims by more than 50 %, we are required to release securities of our choice upon demand of the Buyer.


VI. Performance of Deliveries
When the goods are handed over to a forwarding agent or a carrier, at the latest, however, when the goods leave the warehouse or – with direct sales – the supplying plant, the risk is transferred to the Buyer in all cases, even those which are prepaid or free house deliveries. The Buyer must bear the responsibilities and costs of unloading. We shall obtain insurance only at the instruction of and at the Buyer’s costs.
We are permitted to make partial deliveries in reasonable amounts. With goods manufactured to the Buyer’s specification, deliveries are permitted which are up to 10 % more or less than the quantity ordered.


With call contracts, we are permitted to produce or have the total quantity produced at one time. Any changes desired cannot be considered after the order has been given unless this has been specifically agreed to. Unless there is a firm agreement, call up times and quantities can only take place according to our supply or manufacturing capabilities. Should the goods not be called according to the contract, after a reasonable additional period of time we are authorized to invoice them as having been delivered.
VII. Liability for Defects
Any of the interior and exterior properties of the goods, in particular to their quality, grade and measures will follow the agreed standards and, in default of such an agreement, such DIN- and EN-standards applicable at the time of the conclusion of the contract, and in absence of such standards the trade use and practice. Any reference to standards and to similar guidelines as well as to quality, grade, measure, weight and usage of the goods, any information given in drawings and illustrations as well as any predictions given in our advertising material shall not be regarded as representations or guaranties, unless we have expressly referred to them in writing. The same shall apply to declarations of conformity and to similar characteristics such as CE and GS signs. The Buyer shall bare any risks as to the suitability and usage of the goods.
In case the goods are deficient, the Buyer shall be entitled to his statutory rights under the BGB (German Civil Code) subject to the conditions that we shall be entitled to choose between repair and delivery of substitute goods and that only minor (insignificant) defects shall limit the Buyer’s rights to reduce the purchase price (reduction).
As to the Buyer’s obligations to examine the goods and to notify us of any defects, the statutory of the HGB (German Commercial Code) subject to the condition that he has to notify us in writing.
We will bear any costs in connection with repair and substitute deliveries to the statutory extent only and only to the extent as such costs, in comparison with the value of the non-defective goods and to the importance of the defect, are just and reasonable (proportionate). We shall not bear any of the Buyer’s costs in connection with the assembling and/or disassembling of the defective goods nor for the self-repair of a defect nor for such supplementary costs resulting from the fact that the sold and delivered goods are at a place other than the agreed place of delivery.
Unless the Buyer gives us the possibility to convince ourselves of the defects, especially if, when requested, he does not make the defective goods or samples thereof available to us, he cannot claim that the goods are defective.
In accordance with subparagraph VIII of these Conditions, additional claims are not acceptable. This applies in particular to claims for damages which did not occur to the goods themselves (consequential damages).


VIII. General Limitations of Liability and Statute of Limitations
We are liable for breach of contractual and non-contractual duties, especially those due to impossibility, delay, false advice, culpa in contrahendo and tortuous acts – also those of our managerial staff and other personnel – only in those cases of wrongful intent or gross negligence. Our liability shall in any case be limited to the loss foreseeable at the time of the conclusion of the contract and to damages characteristic for the type of contract in question.
The aforesaid restriction shall not apply to such cases where we breach our fundamental contractual obligations and where such a breach of contract will endanger the contractual purpose; it shall neither pertain to such cases where our liability is compulsory under statutory law, either under the German Product Liability Act (Produkthaftungsgesetz), or with regard to damages to life, to the body or to health, or where we have wilfully concealed any defects of the goods or guaranteed their absence. Any statutory rules regarding the burden of proof shall remain unaffected by the aforesaid.
Unless otherwise agreed to any contractual claims which the Buyer is entitled to in connection with the delivery of the goods shall fall under the statute of limitations within a period of one year after the goods have been delivered to the Buyer. This limitation period shall also apply to such goods which, according to their normal usage, have been used for constructional works related to real estate property and which have caused damage within this construction, unless this usage has been agreed upon in writing. This period shall not apply to our liability resulting from breaches of contract caused by our wrongful intent or by our gross negligence; neither to such injuries of life, body and health caused by our fault, nor to the limitation periods of any statutory recourses. Our substitute deliveries shall not cause the renewal of the initial limitation period.


IX. Copyrights
We reserve our property and our copyrights of all cost estimates, drafts, drawings and other supporting papers. They may be made available to third parties only after our agreement. Drawings and other supporting documents relating to offers must be returned at our request.
So far as we have delivered items according to drawings, models, samples or other supporting documents supplied by the Buyer, he takes over the liability that protected rights of third parties have not been damaged. If third parties, with reference to protected rights, do not permit the manufacturing and delivery of those types of items, we are permitted – without being required to check the legal situation – to stop all further activities and to request damages when the Buyer is liable. In addition, the Buyer is responsible to immediately hold us free from all claims of third parties in this connection.


X. Test Parts, Forms, Tools
If the Buyer is required to provide parts to complete the order, they must be provided delivered free to the place of production in the required quantity, or with an additional quantity to cover any scrap, on time, without costs and free of any defects. If this does not occur, any resulting costs and other consequences will be for his account.
The construction of experimental parts, including the costs for forms and tools are for the account of the Buyer.
Property rights for forms, tools and other devices necessary for the construction of the ordered parts are according to the agreement made. Should these types of devices become unusable before the agreed upon quantities have been produced, the costs for replacement devices will be taken over by us. We promise to keep such devices available for a minimum period of two years after their last usage.
Our liability for tools, forms and other manufacturing devices provided by the Buyer is limited to the care which we would normally apply in our own affairs. The Buyer takes over the costs for maintenance and repair. Our safekeeping responsibility ends – independent of the ownership rights of the Buyer – at the latest two years after the last manufacturing using the form or tool.


XI. Place of Performance, Jurisdiction and Applicable Law
The place of performance for our deliveries is our office. The place of jurisdiction between “merchants” (Kaufleute) is the location of our company headquarters. We may, however, also sue the Buyer at his place of jurisdiction.
All legal relationships between ourselves and the Buyer shall be governed by the laws of the Federal Republic of Germany supplementing these Conditions, including the provisions of the United Nations Convention on Contracts for the International Sale of Goods from 11.04.1980 (CISG).


XII. Applicable Version
In case of doubt, the German version of these General Conditions of Sale shall prevail.

GENERAL CONDITIONS OF PURCHASE

I.    Contents of Contract and its Conclusion
These General Conditions of Purchase (“Conditions”) shall apply to all – present and future – orders of goods and services and their transactions. Conflicting conditions or any of the Seller’s purchase conditions, which differ from these Conditions, will not be accepted unless otherwise specified in our contract with the Seller. If we accept the goods without further objecting expressly, this may not in no case be considered as our acceptance of the Seller’s conditions.
If, for a specific order, special conditions are agreed to which differ from these Conditions then these Conditions are subordinate and supplementary only.
The preparation of offers is cost-free and not binding for us.


II.    Prices
The prices agreed to represent free house delivery to the receiving location, including freight, packaging and similar costs. In case of deliveries where we pay the costs, we shall take over only the most favourable freight costs unless we have specified a special type of shipment.
III. Payment
The following payment conditions apply if nothing else has been agreed to: we shall pay invoices either within 14 days with a 3 % cash discount or 30 days without deductions. If the payment conditions of the Seller are more favourable for us then they apply.
Payment and cash discount periods begin with receipt of the invoice, not, however, before receipt of the goods or services nor before their acceptance and, so far as documentation or similar documents belong to the total package, not before they are given to us as specified in the contract.
Payments will take place by check or bank transfer. Payment is considered to be on time when the check is put in the mail or the transfer papers are given to the bank on the due date.
We shall be entitled to all statutory rights as to the set-off and retention of our claims against the Seller’s.
Interest may not be requested at the mere maturity of the debt. The interest rate on default is 5 percent points above the basic interest rate. In any case, we are permitted to prove lower damages due to default than that requested by the Seller.


IV. Delivery Deadlines
Delivery deadlines and dates are binding. When delays are threatened, we must be informed immediately.
In case of delivery delays we have the right to claim as specified by law. In particular, after the fruitless expiration of an extension of time, we are authorized to request damages instead of the goods or services. Our claims for delivery expire only after the Seller has paid any damages.


V.    Retention of Title
The Seller's terms covering his retention of title shall apply subject to the condition that title in the goods shall pass to us on the date of payment for such goods. Consequently, the extended forms of the so-called current account retention (Kontokorrentvorbehalt) and the multiple reservation (Konzernvorbehalt) shall not apply.
The Seller may claim return of the goods on the basis of his retention clause only if he has previously withdrawn from the contract.


VI.    Execution of Deliveries and Transfer of Risk
The supplier carries the risk of accidental loss and accidental deterioration, even with prepaid and free house deliveries, until the goods have been handed over at the place of delivery.
Partial deliveries require our agreement.
Quantities exceeding or less than those ordered are permitted only within the usual trade conditions.
The Seller carries the cost of packaging unless something else has been agreed to in writing. If we carry the cost of packaging in a specific case, this must be charged to us at the lowest cost possible. The requirements to take back packaging are according to the Packaging Regulation (Verpackungsverordnung) of 21.08.1998 in their current version.


VII. Declarations of Origin
Where the Seller makes a declaration in regard to the origin of the merchandise, the following terms shall apply:
The Seller will allow verification through customs authorities and submit all necessary information as well as any required certification.
The Seller shall compensate us for any damages and losses incurred to us, if and in so far as the competent authorities, due to any deficient certification or impossibility to verify, fail to acknowledge the declared origin, unless he proves that he is not responsible for such consequences.


VIII. Warranty Provisions and Statute of Limitations
The Seller must supply us with goods free of physical and legal defects. The Seller must take the responsibility that his deliveries and services are according to the recognized rules of technology and that the contractually agreed upon characteristics and standards as well as safety, workers’ protection, accident prevention and other laws have been followed.
Upon receipt, the goods will be checked by us for quality and completion within the reasonable and technical possibilities available to us. Notices of defects are in time if they are sent by letter, telefax, e-mail or telephone and are received by the Seller within five working days. The deadline for the notice of defects begins at that point in time in which we – or within direct sales, our customers – have or should have determined that there is a defect.
If the goods have a physical defect, we have legal rights of our choice. We can request from the Seller the refund of the costs we have to carry in relation to our customer, when the defect was present at the time the risk was transferred to us.
The legal Statute of Limitations applies to our claims of defects. The deadline begins with the timely submission of the notice of defects in the sense of the previous No. 2. The responsibility of the Seller for defects ends, however, ten years after delivery of the goods. This limitation does not apply insofar as our claims result from occurrences which the Seller knew about or about which he must have known and which he did not reveal to us.
The Seller transfers to us now – on account of fulfilment – all claims he has against his suppliers resulting from and in connection with deliveries of defective goods or those goods in which promised characteristics are missing. He will supply us with all documents necessary for us to assert those claims.


IX. Tools, Models, Drawings and other Documents
Tools, models, drawings and other documents supplied by or prepared for us may only be used to perform our orders. They may not be given to third parties without our approval and must be retained until further notice, at a maximum two years after their last usage, in an orderly condition and then returned to us.
The production of, as well as the working on or processing of such tools, models, drawings and other documents which the supplier undertakes are for us as manufacturer, with the result that we gain ownership of them.


X. Place of Performance, Jurisdiction and Applicable Law
Unless otherwise agreed to, our warehouse shall be the place of performance for the delivery.
Our principal office shall be the place of jurisdiction. We may, however, sue the Seller at his place of jurisdiction or at the court, which is competent for our branch office with which the contract in question has been concluded.
All legal relationships between ourselves and the Seller shall be governed by the laws of the Federal Republic of Germany supplementing these Conditions, including the provisions of the United Nations Convention on Contracts for the International Sale of Goods of 11.04.1980 (CISG).


XI. Applicable Version
In cases of doubt, the German version of these General Conditions of Purchase shall prevail.
